These Terms and Conditions ("Terms") govern your use of all software platforms and services provided by AdecNova LLC ("Company," "we," "us," or "our"), including but not limited to BarberAPP, NovaClock, NovaTax, and any other current or future applications. AdecNova LLC develops and operates a portfolio of cloud-based SaaS (Software as a Service) platforms for businesses in the United States, with a strong focus on the Latino market. Our current platforms include:

As part of its software platforms, AdecNova LLC operates an SMS messaging program to send transactional notifications, reminders, and updates to users and their clients on their behalf, and to communicate directly about account activity.
Program Name: AdecNova SMS Alerts
Message Types: Appointment reminders, booking confirmations, cancellation notices, workforce alerts, payroll notifications, compliance updates, promotional offers (for opted-in recipients only), and general account updates.
Message Frequency: Message frequency varies based on account activity. You and your clients may receive up to 5 SMS messages per week per active booking or notification preference.
Cost Disclosure: Message and data rates may apply. Recipients should check with their wireless carrier regarding their SMS plan before opting in.
To Opt Out: Reply STOP at any time to cancel SMS messages. Upon receipt, you will receive a final confirmation message and no further messages will be sent to that number.

By providing a mobile phone number and checking the consent checkbox within any AdecNova platform or web form, you (and/or your clients, where applicable) expressly consent to receive text messages from AdecNova LLC. AdecNova's software platforms are offered on a subscription basis. By subscribing, you authorize AdecNova LLC to charge your selected payment method on a recurring basis at the rates in effect at the time of billing. All fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing with 30 days' advance notice.
All content, software, trademarks, and materials comprising AdecNova's platforms (including BarberAPP, NovaClock, NovaTax, and any future products) and the AdecNova LLC website are the exclusive property of AdecNova LLC, protected by U.S. and international copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. ADECNOVA LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADECNOVA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless AdecNova LLC and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys' fees) arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described in our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or SMS at least 14 days before the changes take effect. Your continued use of the services after such notice constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law provisions. Any disputes arising under these Terms shall be submitted to the exclusive jurisdiction of the courts located in Fairfax County, Virginia.
